1. Who the seller is

The seller is Key Interactive, with registered office at Via Aldo Moro 45, 30020 Quarto d'Altino (VE), Italy, VAT number (partita IVA) 04987210277 (hereinafter "Key Interactive", "we", "us"). Contact: store@keyinteractive.it.

Key Interactive is also the owner of the Store (store.keyinteractive.it), of the Key Interactive Accounts sign-in system (users.keyinteractive.it) and of the website keyinteractive.it.

2. What these terms apply to

These terms govern every purchase made on the Store: software licences, subscriptions, time-limited passes and any other Key Interactive digital product listed in the catalogue. They apply both to consumers and to professionals and businesses. Where a rule applies only to consumers or only to professionals, we say so expressly.

By purchasing you accept these terms and the Refund Policy, and you acknowledge the Privacy Notice. If you do not accept them, do not complete the purchase.

3. Definitions

• Consumer: a natural person who purchases for purposes outside their trade, business, craft or profession (Article 3 of the Codice del Consumo (Italian Consumer Code, Legislative Decree 206/2005)).
• Professional: anyone who purchases in the course of their business or professional activity, including any company, organisation or self-employed professional, and anyone who purchases "on behalf of a business" through the Store.
• Key Interactive Account: the free personal account on Key Interactive Accounts used to sign in to the Store.
• Perpetual licence: the right to use a version of a software product without expiry, under the conditions of Article 9.
• Subscription: the right to use a product or service for renewable periods (for example monthly or yearly), under the conditions of Article 10.
• Pass: the right to use a product or service for a fixed, limited duration (for example 24 hours), under the conditions of Article 10.
• Entitlement: any licence, subscription or pass purchased, as shown in the "My products" section of the Store.

4. Account, age and purchases on behalf of a business

A Key Interactive Account is required to purchase. Purchases without an account are not possible. The account is personal: credentials must not be shared, and you are responsible for whatever is done with your account.

You must be at least 18 years old to purchase. If you are a professional, you declare that you have the authority to bind the person or organisation on whose behalf you are purchasing.

Where the Store allows it, you may purchase on behalf of a business of which you are a member with the administrator role on Key Interactive Accounts. In that case: the contract is concluded between Key Interactive and the business, the Entitlements belong to the business and are visible to its members, the tax documents are issued in the name of the business, and the rules for professionals apply. By selecting the business at the time of purchase you declare that you are authorised to do so.

5. Catalogue and prices

The products and prices are those shown on the Store at the time of the order. Prices are in euro.

Key Interactive operates under the Italian flat-rate tax scheme (regime forfettario, Law 190/2014, Article 1, paragraphs 54-89): the prices shown are not subject to VAT and are the amounts actually due, except for any taxes applicable in the buyer's country, which remain the buyer's responsibility. Should Key Interactive's tax regime change, the prices displayed will still be the final prices paid by the buyer.

We may change prices and the catalogue at any time; changes do not affect orders already concluded. In the case of a manifestly incorrect price (for example due to a technical error), we may cancel the order before delivery and refund in full the amount paid.

Each item in the catalogue states whether it is a Perpetual licence, a Subscription or a Pass, its duration or renewal period and, for software, the version covered.

6. Order and conclusion of the contract

The purchase works as follows: you add items to the cart, check the summary (items, quantities, total), choose whether you are purchasing for yourself or on behalf of a business, if you are a consumer you confirm the declarations in Article 11, and you proceed to payment. Payment takes place on the secure page of our payment provider (Article 7).

Submitting the order is an offer to purchase. The contract is concluded when we receive confirmation of payment and send you the order confirmation email with the order number. Until then the order remains "pending" and may expire without any charge.

We may refuse or cancel an order, refunding any amount paid, in the event of: unconfirmed or disputed payment, suspected fraud or abuse, manifestly false data, breach of these terms, or technical unavailability of the product.

We keep orders in our systems; you can view them under "My products". These terms are available on the Store at all times and we recommend that you save a copy.

The Store is available in Italian, English, German, Russian and Chinese. In case of doubts of interpretation, the Italian text prevails.

7. Payment

Payments are handled by Stripe (Stripe Payments Europe, Ltd.). You may use the payment methods offered on the payment page. Card details are entered and processed exclusively by Stripe: Key Interactive neither receives nor stores them.

On the payment page we ask you for the data required for tax documents (billing address and, for professionals, VAT number and, where applicable, tax code (codice fiscale), SDI recipient code or PEC certified email address). You are responsible for their accuracy: we cannot correct a tax document already issued with data that you entered.

Subscriptions are charged in advance for each period to the saved payment method. If a charge fails, we notify you and try again; if payment is not received, the subscription is suspended and then terminated.

If you dispute a payment with your bank (chargeback) without contacting us first, we suspend the Entitlements linked to the order until the dispute is resolved.

8. Delivery of digital products

The products are digital and nothing is shipped physically.

Delivery takes place immediately after payment confirmation: the Entitlements appear under "My products", software licences are also sent by email to your account's email address, and the installation files can be downloaded from the Store. In rare cases the item may remain "Activating" for a few minutes.

If an Entitlement is not active within 24 hours of payment confirmation, write to us: we will activate it or refund the order in full.

Download links are personal and temporary. After a refund or the revocation of an Entitlement, the files and the licence text are no longer available on the Store.

9. Perpetual software licences

With a Perpetual licence we grant you a non-exclusive, non-transferable right, without expiry, to install and use the specified software, in the version purchased and in all versions up to the major version indicated on the item's product page. Updates beyond that major version require a new licence or a paid upgrade, where offered.

A licence is valid for one unit at a time: one person or, for business licences, one workstation. If you need more units, purchase the corresponding quantity: each unit receives a separate licence. The specific conditions of a product (for example the number of installations allowed or the features included) are stated on its product page and prevail over this Article.

The licence is issued in the name of you or, for purchases on behalf of a business, of the business: the licence text contains the licensee's name and is used by the software to verify it. The licence may not be assigned, resold, rented or shared with third parties; upon written request we may consider transferring it to another person or business.

The software may check online, from time to time and only if there is internet, that the licence is used on the intended number of computers and has not been cancelled (for example after a refund). The licence can also be used without internet. If a licence is found in use on more computers than intended, the software shows a warning and, after a tolerance period, may prevent new playback from starting until you free a computer in “My products”; playback already running is never interrupted. The data processed is explained in the privacy notice.

The software may be provided with a free trial period. The trial grants no rights beyond its duration and is not a purchase.

It is not permitted to: circumvent or tamper with the licensing mechanisms, decompile or reverse engineer the software except as mandatorily permitted by law, redistribute the software or the licence, or use the software for unlawful activities.

The software remains the property of Key Interactive: you purchase a right of use, not the software.

10. Subscriptions and Passes

A Subscription lasts for the period stated on the product page (for example one month or one year) and renews automatically for equal periods, charging the price in force, until it is cancelled. You may cancel at any time from "My products" or by writing to us: cancellation takes effect at the end of the period already paid, which remains usable until it expires. Periods already paid are not refunded, except as provided for consumers in Article 11.

Some subscriptions have a minimum commitment period (for example 12 months), clearly stated on the product page before purchase. In that case cancellation takes effect at the end of the minimum period. If you ask to terminate earlier, the amount stated on the product page as the early termination fee is due, up to the amount of the remaining periods of the minimum term. For consumers, the right of withdrawal under Article 11 remains unaffected.

We may change the price of a subscription with at least 30 days' notice by email: the new price applies from the first renewal thereafter and you may cancel before it takes effect.

A Pass is valid for the fixed duration stated (for example 24 hours) from the moment of activation; it does not renew and cannot be paused.

Subscriptions and Passes are personal or, if purchased on behalf of a business, belong to the business, according to the number of seats stated. Access to the linked services (for example through the product's app) requires the Key Interactive Account with which, or on whose behalf, the purchase was made.

If a subscription service is discontinued, we notify you with at least 30 days' notice and refund the part of the period already paid and not used.

11. Consumers' right of withdrawal

If you are a consumer you have the right to withdraw from the contract within 14 days of its conclusion, without giving any reason, under Articles 52 et seq. of the Codice del Consumo (Italian Consumer Code). To exercise it, a clear statement to store@keyinteractive.it quoting the order number is sufficient; you may use the form at the end of this document. We refund within 14 days of your statement, using the same means of payment.

Exceptions provided by law, which we ask you to confirm at the time of purchase:

• Software licences and other digital content delivered immediately (Codice del Consumo (Italian Consumer Code), Article 59(o)): by requesting immediate delivery of the digital content and confirming that you are aware that you thereby lose the right of withdrawal, you will no longer be able to withdraw once the licence or content has been delivered. If you do not wish to give this consent, do not complete the purchase: we do not deliver licences "after 14 days".
• Subscriptions and Passes (services that start immediately, Codice del Consumo (Italian Consumer Code), Article 59(a) and Article 57(3)): by requesting immediate activation, if you withdraw within 14 days we refund the price less the part of the service already used, calculated proportionally; if the service has been fully performed (for example a 24-hour Pass that has expired), no refund is due.

The right of withdrawal does not apply to professionals or to purchases on behalf of a business.

12. Refunds

In addition to consumer withdrawal, the cases in which we refund (non-delivery, double charge, discontinued product, our error) and how to request a refund are described in the Refund Policy, which forms part of these terms. Every refund entails the revocation of the linked Entitlements.

13. Guarantee of conformity

Consumers. Digital content and digital services are covered by the legal guarantee of conformity (Articles 135-octies et seq. of the Codice del Consumo (Italian Consumer Code)): for two years from delivery, or for the whole duration of the supply if it is continuous, you are entitled to have conformity restored, or to a price reduction or termination of the contract in the cases provided by law. We provide the updates necessary to keep the product in conformity for the period you can reasonably expect.

Professionals. We warrant for 12 months from delivery that the product performs substantially in accordance with its description. In the event of a defect, we undertake to correct it within a reasonable time or, if that is not possible, to refund the price. Any other warranty, express or implied, is excluded to the extent permitted by law.

The technical requirements (operating system, hardware, connection) are stated on the product page; check compatibility before purchasing, including with the free trial where available.

14. Liability

We are liable for damage caused by wilful misconduct or gross negligence and in the cases where the law does not allow limitations. In all other cases, and only towards professionals, our liability for each order is limited to the amount paid for that order, and indirect damage, loss of data, loss of profit and loss of goodwill are excluded. Nothing in these terms limits the rights that the law mandatorily grants to consumers.

You are responsible for making backup copies of your data and for using the software in suitable environments.

15. Intellectual property

The software, trademarks, logos, texts, images and all content of the Store belong to Key Interactive or its licensors and are protected by copyright and industrial property laws. A purchase does not transfer any intellectual property right.

16. Use of the Store and suspension

You undertake to use the Store lawfully, not to interfere with its operation and not to use automated tools to place orders. We may suspend access to the Store or to the Entitlements in the event of abuse, fraud, unjustified chargeback or breach of these terms, notifying you by email unless the matter is urgent.

17. Personal data

We process your data as described in the Privacy Notice.

18. Changes to these terms

We may update these terms. The version in force is always the one published on the Store with its last-updated date. Orders are governed by the version in force at the time of the order; for subscriptions, changes apply from the first renewal after their publication, and in the case of unfavourable changes we notify you by email with at least 30 days' notice, leaving you the option to cancel.

19. Governing law and jurisdiction

These terms are governed by Italian law.

For consumers resident in the European Union, the more favourable mandatory rules of their country of residence remain unaffected; any dispute falls within the jurisdiction of the court of the consumer's place of residence or domicile in Italy or, if the consumer resides in another Member State, of the courts designated by Regulation (EU) 1215/2012. Before going to court you may attempt conciliation through a recognised alternative dispute resolution (ADR) body, under Articles 141 et seq. of the Codice del Consumo (Italian Consumer Code).

For professionals, the Court of Venice has exclusive jurisdiction.
